02What you are buying
A written document, identified by name and price on the purchase page you accepted these terms from. That page also states what the document covers for your project. It forms part of this contract.
We are a product design and engineering studio. The documents are professional work product: assessments, briefs, roadmaps and specifications. They are not software, not a subscription, and not physical goods.
03Price and payment
Prices are shown in US dollars on the purchase page and are payable in full before work begins. Payment is taken by Stripe; we never see or hold your card details.
Prices exclude VAT where VAT applies. If you are a business outside the United Kingdom, the reverse charge may apply and you are responsible for accounting for it.
04Delivery
We deliver by email, as a PDF, to the address used at checkout.
Where a turnaround is stated on the purchase page it runs from the moment we have the information we need from you, not from payment. If we need something from you to start, we will say so on the day you buy. If we never receive it, we will ask twice and then hold the work open for six months.
05Cancellation, and your right to change your mind
If you are a consumer (buying as an individual, not for your business), you normally have 14 days to cancel a distance contract for services and receive a full refund.
You are never required to give that right up in order to buy. On the order page you choose, before paying, when we start:
Start now. You ask us to begin before the 14 days are up, and you acknowledge that you lose the right to cancel once the document has been delivered. Both limbs are needed for us to start immediately, which is why the option says both.
Start after the 14 day period. You keep your cancellation right in full. We do not begin work until the period has ended, and the order page tells you the date. You have paid, and if you cancel before we start you are refunded in full.
We record which option you chose, and when, at the moment you choose it.
If you cancel after we have begun but before delivery, you pay for what has been done to that point and we refund the balance.
If you are a business, this section does not apply and orders are non cancellable once work begins. We would still rather have a conversation than an unhappy client: if something has gone wrong, write to us.
06If the document is not what was described
Tell us within 14 days of delivery. If the document does not cover what the purchase page said it would cover, we will correct it at no charge, or refund you in full if we cannot.
This is about scope, not conclusion. A document that honestly reaches a verdict you did not want is not a defective document.
07What the document is based on, and its limits
We work from what you give us. The document reflects the information you provide and what we can reasonably infer from it. If a material fact is missing or wrong, the conclusions may be too. We will say plainly in the document what we relied on.
A document is an informed professional opinion, not a guarantee of outcome. It does not replace physical testing, prototyping, certification, or advice from a regulated professional where one is required, such as a patent attorney, a notified body or a solicitor. Where a question falls to one of those, we say so and, if it helps, point you to people we have worked with.
Our liability to you is limited to the amount you paid for the document in question. We are not liable for loss of profit, loss of opportunity, tooling or manufacturing costs, or any indirect or consequential loss.
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else which cannot lawfully be limited.
08Intellectual property
On payment in full, the document we deliver is yours: you may use, copy, modify, and share it, including with manufacturers, investors and advisers.
We keep ownership of our templates, methods, tooling, know how, and any material of general application that exists independently of your project. You are not licensed to resell the document as a product in its own right.
We will not use your name or project publicly without asking you first.
09Confidentiality
We treat what you send us as confidential and will not disclose it, except to people working on your document who are under the same obligation. If you need an NDA on your own paper before sending anything, ask.
10Data
We process your name, email and the information you send in order to write your document and keep our records. We do not sell it. You can ask us for a copy or for deletion at clement.simon@onmotio.com. Our processors include Stripe (payments), Google (email) and Supabase (data hosting).
11Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident elsewhere, this does not deprive you of protections that cannot be excluded under the law of your own country.
